PLEASE READ THESE TERMS OF USE CAREFULLY AND COMPLETELY BEFORE USING THE SERVICES (DEFINED BELOW). THESE TERMS OF USE ARE A LEGAL AGREEMENT BETWEEN YOU AND UNITED METHODIST FOUNDATION OF THE NORTHEAAST. BY USING THE SERVICES, OR OTHERWISE INDICATING YOUR ACCEPTANCE OF THESE TERMS OF USE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT UNDERSTAND THESE TERMS OF USE, OR IF YOU DO NOT WISH TO AGREE TO THESE TERMS OF USE, DO NOT USE THE SERVICES.
1. ACCEPTANCE; SCOPE.
1.1. Acceptance. Welcome to umfne.org website (the “Site”), which is owned by United Methodist Foundation of the Northeast (“we”, “us”, “UMFNE”, or “the Foundation) and controlled from its offices in the United States. These Terms of Use (“Terms”) set forth the mutual agreement between UMFNE and you (“you,” or “your,”), and, if applicable, the entity for which you are authorized to accept these Terms. The services covered by these Terms (“Services”) include all versions of the Site, all Content (defined below), and all other related content, materials, information and documentation made available to you by UMFNE. By accepting these Terms, you represent and warrant that you are at least 18 years of age and have the authority to enter into these Terms. If you are accepting these Terms for an entity, you represent that you have the authority to bind that entity and you agree that “you” as used in these Terms includes both you personally and the entity you represent. If you do not agree to these Terms, do not access or use the Services.
1.2 Availability of Services. UMFNE makes no representation that the Services are appropriate or available for use in all locations, and access to the Services from territories where such access is illegal is prohibited.
1.3 Modifications to Terms of Use. UMFNE may amend, update or modify these Terms at any time, in whole or in part, by posting amended Terms. By continuing to use the Services after those changes become effective, you agree to be bound by the revised Terms. If you do not agree to these Terms, as amended, do not use the Services.
1.4 Privacy Policy. By using the Services or by agreeing to these Terms, you are also agreeing to UMFNE’s Privacy Policy (“Privacy Policy”, accessible here: https://umfne.org/privacy-policy/), which is incorporated herein by reference, and the collection, use, sharing and storage of information as described therein, including without limitation your personal or personally identifiable information. If you do not agree to any of the terms of the Privacy Policy, do not use the Services.
1.5 Third Party Sites. The Services may contain links to third-party websites or resources not owned or operated by UMFNE (“Third Party Sites”). These links are provided solely as a convenience to you. You acknowledge and agree that UMFNE is not responsible or liable for: (a) the availability or accuracy of Third Party Sites; or (b) the content, products, or services on or available from Third Party Sites. Links to Third Party Sites do not imply any endorsement by UMFNE of Third Party Sites or the content, products, or services available from Third Party Sites. Nor do links to Third Party Sites imply that UMFNE is affiliated or associated with the linked Third Party Sites. You acknowledge sole responsibility for and assume all risk arising from your use of any Third Party Sites. By using the Services, you expressly release UMFNE from any and all liability arising from your use of any Third Party Sites.
2. LIMITED LICENSE; RESTRICTIONS.
UMFNE GRANTS YOU A LIMITED, NON-EXCLUSIVE, NON-TRANSFERABLE, NON-SUBLICENSABLE, REVOCABLE LICENSE TO ACCESS AND MAKE USE OF THE SERVICES FOR PERSONAL, NON-COMMERCIAL PURPOSES ONLY, PURSUANT TO THESE TERMS. For avoidance of doubt, this license does not include any rights regarding resale or derivative use of the Services, or any use of data mining, robots, or similar data gathering and extraction tools. You agree that you will not reproduce, redistribute, duplicate, copy, sell, transfer, create derivative works from, decompile, reverse engineer, alter, adapt, disassemble, or otherwise exploit the Services. All rights not expressly granted by UMFNE herein are reserved.
3. CONTENT.
For purposes of these Terms, “Content” includes, but is not limited to, data, graphics, images, photos, audio, videos, text, logos, icons, images, sounds, music, data compilation, articles, software, documents and other materials in all forms and mediums included in or made available through the Services. For avoidance of doubt, Content also includes, but is not limited to, materials owned by UMFNE that are hosted by a third party, and embedded in, made available through, or otherwise linked to the Site. All Content is the exclusive property of UMFNE or its affiliates, licensors, suppliers, or other content suppliers, and is protected by applicable trade dress, copyright, trademark, patent, and other intellectual property and unfair competition laws. All rights related to Content not expressly granted to you in these Terms are reserved and retained by UMFNE or its affiliates, licensors, suppliers, or other content providers. You may access the Content only as intended and permitted under these Terms. In addition to and without limiting other prohibitions set forth in these Terms, and for avoidance of doubt: (a) you are prohibited from using the Services with the intent to copy and/or distribute Content; and (b) Content shall not be used for commercial purposes, including without limitation charging others fees for use of the Content, or commercial reproduction or distribution of the Content, or any portion thereof.
4. ACCEPTABLE USE AND CONDUCT.
As a condition of your access and use of the Services, you agree that you will use the Services in compliance with these Terms and all applicable laws. You further agree that you shall not: (a) impersonate any individual or entity or misrepresent your affiliation with any other individual or entity; (b) use the Services in any manner with the intent to interrupt, damage, disable, overburden or impair the Services; (c) use the Services in violation of UMFNE’s, its affiliates, or any third party’s intellectual property or other proprietary or legal rights; (d) use the Services in violation of any applicable laws and/or to encourage illegal activities; (e) attempt (or encourage or support anyone else’s attempt) to circumvent, reverse engineer, decrypt or otherwise alter or interfere with the Services or make any unauthorized use thereof; (f) access, tamper with, or use non-public areas of the Services, UMFNE’s computer systems, or the technical delivery systems of UMFNE’s providers or otherwise obtain or attempt to obtain any content, materials or information through any means not intentionally made publicly available or provided for through the Services; (g) probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures or otherwise attempt to gain unauthorized access to the Services through hacking, password mining or any other means; (h) use or attempt to use any “spider”, “robot”, “bot”, “scraper”, “data miner” or any other program, device or algorithm, process or methodology to access, acquire, copy, or monitor the Services (or portions thereof); (i) forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Services to send altered, deceptive or false source-identifying information; (j) interfere with, or disrupt, (or attempt to do so), the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Services, or by taking any action that would interfere with or create an undue burden on the Services; (k) defame, harass, stalk, attack, threaten, intimidate, or otherwise violate the rights of others, including, without limitation, others’ moral, privacy or publicity rights; or (l) use the Services in any way that might bring UMFNE or its affiliates into disrepute. Any commercial or promotional distribution, publishing, or exploitation of the Services is strictly prohibited unless you have received the express prior written permission from authorized personnel of UMFNE, UMFNE’s affiliates, licensors or the otherwise applicable rights holders.
5. CHANGES TO AND TERMINATION OF THE SERVICES.
UMFNE aims to continually improve the delivery and content of the Services and, as a result, UMFNE may make changes to the Services from time to time. New features may be added, but UMFNE also may modify or discontinue (temporarily or permanently) any element of the Services, in whole or in part. Without limiting the generality of the foregoing, and for avoidance of doubt, UMFNE may cease to offer the Services for any reason, and at any time, in its sole discretion.
Your license to use the Services under these Terms and any obligations of UMFNE to you will automatically terminate if you fail to comply with the Terms. No notice will be required from UMFNE to enforce such termination. Upon termination, all licenses and/or rights granted to you by UMFNE pursuant to these Terms will terminate automatically and immediately.
6. COPYRIGHT.
You may access third-party content in your use of the Services. You may not remove any third party’s copyright notices or other identifier, except as allowed by the third-party’s license of that content. UMFNE is not responsible for any content provided by any third party.
In the event that you receive any written notice that use of the Services or any Content constitutes infringement of third party’s copyright or other intellectual property right, or of any claim of libel or other claim of illegal conduct or violation of third party rights, you agree to notify us immediately.
7. DISCLAIMERS OF WARRANTY.
YOUR ACCESS TO AND USE OF THE SERVICES OR ANY CONTENT IS AT YOUR OWN RISK. YOU UNDERSTAND AND AGREE THAT THE SERVICES ARE PROVIDED TO YOU ON AN “AS IS” BASIS WITHOUT ANY WARRANTIES, CONDITIONS, REPRESENTATIONS OR GUARANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, TO THE FULLEST EXTENT PERMITTED BY LAW, UMFNE AND ITS AFFILIATES, SERVICE PROVIDERS, SUPPLIERS AND LICENSORS, AND THEIR RESPECTIVE DIRECTORS, SHAREHOLDERS, OFFICERS, MEMBERS, EMPLOYEES AND AGENTS, HEREBY DISCLAIM ALL EXPRESS, IMPLIED, STATUTORY AND OTHER WARRANTIES, GUARANTEES OR REPRESENTATIONS, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES’ RIGHTS, FITNESS FOR PARTICULAR PURPOSES OR NEEDS, ABSENCE OF LIENS, ENCUMBRANCES OR SECURITY INTERESTS, AND/OR QUIET ENJOYMENT.
UMFNE MAKES NO WARRANTY AND DISCLAIMS ALL RESPONSIBILITY AND LIABILITY FOR THE COMPLETENESS, ACCURACY, AVAILABILITY, TIMELINESS, SECURITY OR RELIABILITY OF THE SERVICES OR ANY CONTENT THEREON.
UMFNE WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY HARM TO YOUR COMPUTER SYSTEM, LOSS OF DATA, OR OTHER HARM THAT RESULTS FROM YOUR ACCESS TO OR USE OF THE SERVICES, OR ANY CONTENT MADE AVAILABLE THROUGH THE SERVICES. YOU ALSO AGREE THAT UMFNE HAS NO RESPONSIBILITY OR LIABILITY FOR THE DELETION OF, OR THE FAILURE TO STORE OR TO TRANSMIT, ANY CONTENT AND OTHER COMMUNICATIONS MAINTAINED BY THE SERVICES. UMFNE MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM UMFNE OR THROUGH THE SERVICES, WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.
8. INDEMNITY.
You agree to defend, indemnify, and hold harmless UMFNE, its directors, shareholders, officers, members, managers, employees, agents, affiliates, licensors and service providers from and against any and all claims, liabilities, damages, losses, demands, or expenses, including without limitation attorney’s fees and costs, arising out of, resulting from, or connected with: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any law or the rights of any third party, and (d) your negligence or misconduct. UMFNE reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with UMFNE in asserting any available defense.
9. LIMITATION OF LIABILITY.
YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UMFNE AND ITS AFFILIATES, SERVICE PROVIDERS, SUPPLIERS AND LICENSORS, AND THEIR RESPECTIVE DIRECTORS, SHAREHOLDERS, OFFICERS, MEMBERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, ENHANCED, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION, THOSE RESULTING FROM LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; AND/OR (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE OR THROUGH USE OF THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT UMFNE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.
THE SERVICES MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS THAT ARE ASSOCIATED WITH THE USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS. UMFNE IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, OR OTHER DAMAGE RESULTING FROM THESE PROBLEMS.
IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICES OR WITH ANY STATEMENT IN THESE TERMS, YOUR SOLE REMEDY IS TO STOP USING THE SERVICES. IF THE COMPLETE EXCLUSION OF DAMAGES IS NOT UPHELD OR APPLIED BY A COURT OF COMPETENT JURISDICTION, THEN TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF UMFNE AND OF ITS AFFILIATES, SERVICE PROVIDERS, SUPPLIERS AND LICENSORS, AND THEIR RESPECTIVE DIRECTORS, SHAREHOLDERS, OFFICERS, MEMBERS, EMPLOYEES AND AGENTS, ARISING FROM OR IN CONNECTION WITH THESE TERMS OF USE AND/OR THE SERVICES SHALL BE LIMITED TO $100, AND ALL OTHER DISCLAIMERS OF AND LIMITS ON DAMAGES STATED ABOVE SHALL APPLY.
10. LOCAL LAWS
UMFNE and its affiliates and licensors make no representation that the Services are appropriate or available for use in other locations outside the United States. You agree to be responsible, at your expense, for complying with all applicable laws and regulations of each jurisdiction where you use the Services (including, without limitation, laws and regulations pertaining to (a) exports or imports of software and related property, (b) use or remote use of software and related property, and (c) registration of these Terms). You agree to indemnify and hold harmless UMFNE and its affiliates from and against all actions, claims, and proceedings brought or asserted against, and all damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) suffered or incurred by UMFNE and its affiliates arising out of any violation or alleged violation by you of any such laws or regulations. Any diversion of the Services and/or any content obtained from or through the Services contrary to United States laws is prohibited.
11. MISCELLANEOUS.
11.1 Governing law. These Terms will be governed by and construed, interpreted, and enforced in accordance with the laws of the State of New Hampshire without reference to its conflicts or choice of law principles. All claims, legal proceedings or litigation arising in connection with these Terms and/or the Services will be brought solely in the state or federal courts located in the State of New Hampshire, and you consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.
11.2 Entire Agreement. These Terms, including any other legal notices or other policies published by us on the Site, constitute the entire agreement between you and UMFNE with respect to the Services.
11.3 Waiver. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and our failure or delay to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
11.4 Electronic Communication. When you use the Services or send email to us, you are communicating with us electronically, and you consent to receive communications from us electronically. We may communicate with you by email or by posting notices on the Services. You agree that all agreements, notices, disclosures, or other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
11.5 Severability. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
11.6 Assignment. These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you without UMFNE’s prior written consent. UMFNE may assign these Terms without restriction.
11.7 No Third-Party Beneficiaries. Nothing in these Terms shall be deemed to confer any third-party rights or benefits.
